Terms of Use for VIBE SMG, VIBE INCENTIVES, VIBE RECOGNITION, and VIBE GAMIFICATION

Welcome to VIBE SMG, VIBE INCENTIVES, VIBE RECOGNITION, and VIBE GAMIFICATION (collectively referred to as “the Services”). VIBE SMG makes no warranties, expressed or implied, and hereby disclaims all warranties, including without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.
7. Limitation of Liability
In no event shall VIBE SMG, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.
8. Indemnification
You agree to defend, indemnify and hold harmless VIBE SMG and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses, resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.
9. Termination
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which VIBE SMG is located, without regard to its conflict of law provisions.
